Alpha Namibia Industries Renewable Power Limited (ANIREP) will hold its 7th annual general meeting (AGM) virtually on 21 November, according to a notice issued to shareholders on the Namibian Stock Exchange (NSX) on Wednesday.
The meeting will cover several ordinary resolutions, including the consideration of the company’s annual financial statements for the year ended 28 February 2025, the re-election of directors, and the re-appointment of auditors and the company secretary.
Shareholders will also be informed that no dividend will be declared for the 2025 financial year.
The meeting will address a number of board and committee changes.
The notice confirmed the resignation of several directors and committee members, including board chairperson Mac-Albert Hengari, effective 22 March 2025, director Candice Hartley, effective 28 January 2025 and Investment Committee member Alfred Kamupingene, effective 21 November 2025.
Two directors, Gida Sekandi and Stephanus Oosthuysen, will retire by rotation and stand for re-election in line with ANIREP’s Articles of Association. Oosthuysen is also nominated for reappointment to the Environment, Social and Governance (ESG) Committee, while Gavin Frey and Mutindi Jacobs are nominated for appointment to the Investment Committee.
Shareholders will vote on the reappointment of Ernst & Young as ANIREP’s external auditors for the 2026 financial year and the reappointment of ESI Secretarial Services as company secretary.
In June, ANIREP completed the conditions for acquiring a 45% shareholding in CERIM, an independent power producer developing a 50 MW (AC) wind power plant located 17 kilometres south of Lüderitz in the ǁKaras Region.
The project involves the development of 743 hectares of land into a power generation facility and the construction of a 40-kilometre, 132 kV transmission line to connect to the Namib substation. The company said commercial operations are expected within 18 months after financial close.
The project is supported by a 25-year power purchase agreement with NamPower, a land lease agreement in the Tsau ǁKhaeb National Park, an Environmental Clearance Certificate, and a transmission connection agreement.
The CERIM project adds to ANIREP’s renewable energy portfolio, which will exceed 90 MWp of diversified capacity once operational. With an estimated annual wind availability of 4 300 hours, above the industry average of 2 500 to 3 000 hours, CERIM represents a solid investment in clean and reliable power.
