The first week of December has been unusually active on the Namibian Stock Exchange (NSX), with listed companies reporting major share trades, corporate governance shifts and updates to executive incentive plans.
Capricorn Group Limited confirmed a significant on-market transaction involving one of its directors.
Marthinus Johannes Prinsloo sold 385,347 ordinary shares on 5 December at N$26 per share, a transaction valued at just over N$10 million.
The group said the sale was direct and beneficial and that Prinsloo had received the necessary clearance in line with Namibian Securities Exchange rules.
Global mining company Anglo American also issued a key update ahead of its scheduled general meeting.
The board announced the withdrawal of resolution 2, which proposed amendments to long-term incentive plan awards for executive directors. These proposed changes were outlined in the circular detailing the planned merger between Anglo American and Teck Resources.
The board said the resolution relating to the issuing of new shares for the merger remained unaffected and continued to recommend support for the other resolutions as the company moves forward with the transaction.
Oceana Group Limited reported several executive share awards under its 2022 Share Plan.
Two senior executives—group executive director and CFO Z. Mahomed and group company secretary S. Bhoola—received Deferred Bonus Shares and Performance Shares after being temporarily restricted from accepting the awards due to an undisclosed corporate action.
Once the matter became public on 4 December, they were cleared to participate. Mahomed received 33,954 deferred bonus shares and 44 974 performance shares, while Bhoola received 5,820 deferred bonus shares and 6 205 performance shares.
A separate announcement confirmed that additional directors of an Oceana subsidiary also received deferred bonus shares and performance shares on 2 December, with vesting conditions tied to continued employment and performance over three years.
