Shareholders back NAM board and auditor appointments

Namibia Asset Management Ltd (NAM) shareholders approved all resolutions tabled at the company’s annual general meeting held on 12 February 2026.

Shareholders noted and adopted the annual financial statements for the year ended 30 September 2025.

Under ordinary resolution 1, shareholders approved remuneration for non-executive directors for the 2026 financial year. The resolution received 187.82 million votes in favour, with no votes against or abstentions.

Ordinary resolution 2 approved the appointment of EY Namibia as the company’s registered auditor, as recommended by the Audit and Risk Committee. Shareholders also authorised the directors to determine the auditor’s remuneration. The resolution was passed with 187,825,831 votes in its favour.

Under ordinary resolution 3, shareholders confirmed and approved the appointment of Taschiona !Gawaxab as a director with effect from 2 January 2026. 

The resolution received 187.61 million votes in favour and 210 000 abstentions.

In terms of ordinary resolution 4, directors retiring by rotation were re-elected. Gordon Young was re-elected with 187.52 million votes in favour and 303 667 abstentions. Schalk Walters was re-elected with 187.82 million votes in favour. Nur-Reza Salie was re-elected with 184,378,303 votes in favour and 3.44 million votes against.

Ordinary resolution 5 approved the election of members to the Audit and Risk Committee in line with NamCode recommendations. The committee consists of Schalk Walters as chairperson, Absalom Kapenda and Nur-Reza Salie. The resolution received 184.37 million votes in favour and 3.447 million votes against.

Shareholders also passed ordinary resolution 6, a non-binding advisory vote endorsing the company’s remuneration policy as set out in the integrated annual report for the year ended 30 September 2025. The resolution received 187.825 million votes in favour.
