Mobile Telecommunications Limited (MTC) shareholders have approved all ordinary resolutions at the company’s annual general meeting held on 19 March 2026, including the appointment of two non-executive directors, the declaration of a final dividend, and the reappointment of the external auditor.
Mobile Telecommunications Limited said shareholders ratified the appointment of Mercia Geises and Etiigwana Itope as non-executive directors. Both resolutions received strong support, with nearly all votes cast in favour.
The meeting also noted the retirement by rotation of directors Trophimus Hiwilepo, Werner Schuckmann and Fabiam George. Andrew Kanime also retired by rotation. His resolution received 97.53% support, with 2.47% voting against. More than 60% of issued shares were abstained on that item.
Shareholders approved the company’s audited financial statements and the reports of the directors and auditors for the year ended 30 September 2025. A final ordinary dividend of 68.28 cents per share was confirmed.
PricewaterhouseCoopers was reappointed as external auditor for the next financial year. Directors were authorised to determine the auditor’s fees.
Shareholders rejected the company’s two non-binding advisory resolutions on remuneration. The remuneration policy received 33.17% support, with 66.83% voting against. The remuneration implementation report received 33% support and 67% opposition.
The general authority resolution was approved. MTC said it had 750 million ordinary shares in issue as at the AGM voting record date of 19 March 2026. Voting participation on most resolutions was around 96% of shares in issue.
The company also reported a technical voting issue during the AGM. Some shareholders who submitted proxy votes also voted online, which led to duplicate votes in the preliminary count. MTC said the online votes matched the proxy instructions. The duplicate online votes were removed and the proxy votes were kept. The company said the final validated results showed no change to the outcome of any resolution.
