Nedbank Group Limited and Nedbank Limited have announced changes to their boards of directors and board committees as part of the group’s board continuity programme.
With effect from 3 March 2026, Peter Wharton-Hood has been appointed as an independent non-executive director on the boards of Nedbank Group and Nedbank. He will also serve on the Nedbank Group Credit Committee and the large-exposure approval committee.
Wharton-Hood is the Group Chief Executive of Life Healthcare Group Holdings Limited and has more than 20 years of international executive and board experience. He has previously held senior roles at Standard Bank Group and Deutsche Bank AG.
Stanley Subramoney’s term as a non-independent non-executive director will be extended by one year after the Nedbank Group annual general meeting on 29 May 2026. The extension is intended to provide continuity on the boards and committees.
Hubert Brody, the lead independent director and chair of the group directors’ affairs committee, and Brian Dames, chair of the group sustainability and climate resilience committee, will retire at the end of the AGM.
Brody joined the boards in 2017 and has served as lead independent director since 2021. Dames joined in 2014 and became chair of the sustainability and climate resilience committee in 2020. Both retire in line with the group’s policy after completing their terms.
After the AGM, Phumzile Langeni, who chairs the group remuneration committee, will take over as lead independent director.
Group chairperson Daniel Mminele thanked Brody and Dames for their service, saying their expertise and guidance had been valuable to the boards and committees.
Subject to the election and re-election of directors by shareholders at the AGM, the boards will consist of Daniel Mminele as chairperson, Jason Quinn as chief executive, Mary Bomela, Mike Davis as chief financial officer, Natasha Davydova, Neo Dongwana, Oliver Fortuin, Fleetwood Grobler, May Hermanus, Dixit Joshi, Phumzile Langeni as lead independent director, Rob Leith, Linda Makalima, George Njenga, Mfundo Nkuhlu as chief operating officer, Terence Nombembe, Sanat Rao, Stanley Subramoney and Peter Wharton-Hood.
